Action Plan vs. Opportunities

In the Actions menu, we find both Create an Opportunity and Schedule an
Action Plan (which creates Activities). Why use one over the other? What
are the differences and similaries between the two? Why have both?
I have found no documentation either in your manual on on your website on
this issue.
